Setting up a bank account is a mandatory step for operating an S.R.O. or sole proprietorship in Slovakia. It is necessary for settling accounts with clients, paying expenses, and receiving payments.

Document requirements depend on the type of business, the composition of the founders, and the internal policies of the specific bank. For example, Tatra banka and ČSOB have different verification procedures and lists of required documents.

Preparing the Required Documents

The main objective when applying to a bank is to confirm the legality of the business, as well as the identities of its executives and those authorized to manage funds. The required documents depend on the company’s legal form and the results of an internal compliance audit.

A sole proprietor (živnosť) need only present an ID card and proof of business registration. For an S.R.O., the key document is a recent extract from the Commercial Register (Obchodný register), as well as documents regarding the director.

However, regulations vary: Tatra banka accepts extracts issued within the last 6 weeks, while ČSOB accepts documents issued within the last 3 months. In addition to the basic documents, financial institutions request:

  • passports of directors and authorized signatories;
  • information on ownership structure and ultimate beneficial owners (UBOs);
  • proof of legal or actual address;
  • a description of the business model, projected revenue, and sources of capital;
  • relevant licenses for regulated activities.

Properly preparing the application and understanding the specific requirements of a particular bank speeds up the process of opening bank accounts in Slovakia, without the risk of lengthy reviews or rejection.

Special Considerations for Foreign Founders Opening an Account

The fact that the owners are foreign nationals does not prevent them from opening an account, but it does trigger an enhanced KYC/AML review. The bank must verify the clients’ identities, their ties to the company, and the legality of their income.

Non-residents are required to provide foreign passports, proof of tax residency, their home address, and a complete ownership structure. For foreign legal entities, recent extracts from the commercial register and confirmation of the directors’ authority are required.

All foreign documents must be apostilled or consularly legalized, and officially translated into Slovak.
